This Vendor Agreement ("Agreement") is made and entered into as of the Effective Date by and between WorldArtX4U, a multichannel e-commerce platform (hereinafter referred to as "Platform"), and the Vendor identified in the Vendor Registration Form (hereinafter referred to as "Vendor").

1.1 Platform: Refers to WorldArtX4U, its website, mobile application, and any other sales channels it operates.

1.2 Vendor: Refers to the individual or entity that sells products through the Platform.

1.3 Customers: End-users who purchase products from the Platform.

1.4 Products: Items listed by the Vendor for sale through the Platform.

1.5 Commission: A percentage-based fee or fixed amount deducted from each sale made through the Platform is currently Free, except payment gateway, and gst charges by respecting or governing or compliance with the Govt laws.

2.1 The Platform agrees to provide the Vendor with access to its e-commerce marketplace, enabling the Vendor to list and sell products.

2.2 The Vendor agrees to comply with all applicable laws, Platform policies, and quality standards.

3.1 Vendor shall ensure that all products listed are accurate, legally compliant, and not infringing on intellectual property rights.

3.2 Vendor shall maintain adequate stock levels and update inventory in real-time.

3.3 Vendor shall be responsible for product packaging and shipping in accordance with Platform guidelines.

3.4 Vendor agrees to process customer orders promptly and provide tracking information.

4.1 The Platform shall charge a commission on each sale, as specified in the Vendor Dashboard or separate agreement (as of now its free).

4.2 Payment to the Vendor shall be made after the deduction of applicable commissions, taxes, and transaction fees(as per Payment Gateway Partner opted by customer for Buying Products).

4.3 The Vendor is responsible for any taxes applicable to the sale of their products.

5.1 Payments to Vendors shall be processed on a [weekly/monthly] basis, subject to order completion and return policies.

5.2 The Platform reserves the right to withhold payments in cases of disputes, refunds, or policy violations.

6.1 The Vendor agrees to comply with the Platform's return and refund policies.

6.2 In case of disputes, both parties shall attempt to resolve them amicably before seeking legal action.

7.1 The Vendor grants the Platform a non-exclusive, worldwide license to use product images, descriptions, and trademarks for promotional purposes.

8.1 Both parties agree to keep any non-public business information confidential and not to disclose it to third parties.

9.1 Either party may terminate this Agreement with [30] days' written notice.

9.2 The Platform reserves the right to terminate this Agreement immediately in case of fraud, violation of terms, or illegal activity.

10.1 The Vendor shall be solely responsible for any product liability claims.

10.2 The Vendor agrees to indemnify and hold the Platform harmless from any claims, losses, or damages arising from Vendor’s actions.

11.1 This Agreement shall be governed by the laws of [Jurisdiction].

11.2 Any disputes shall be resolved through mediation or arbitration before legal proceedings.

12.1 This Agreement constitutes the entire agreement between the parties.

12.2 No modifications shall be valid unless agreed upon in writing. IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the Effective Date.
